SNR Denton lawyers advise clients regarding labor, employment, executive compensation and benefit issues arising in corporate transactions and restructurings, including advising on the application of the Transfer of Undertakings Regulations (TUPE), counseling regarding Worker Adjustment and Retraining Notification Act (WARN) obligations, litigation avoidance and adverse impact studies in connection with significant workforce reductions.

Representing buyers, sellers, acquirers, lenders, and institutional investors in connection with mergers, sales and acquisitions, we provide the parties involved with valuable legal and business advice. 

SNR Denton assists both sellers and buyers in corporate transactions to negotiate and draft agreements incorporating protective representations and warranties and other provisions regarding labor, employment, executive compensation and benefit issues. We also advise on the tax, governance and securities treatment of equity incentives, executive change in control arrangements and severance and retention matters. Furthermore, SNR Denton lawyers counsel clients in designing and implementing transaction-related restructurings (such as reductions in force and alterations in benefit structures) to advance the interest of our clients. We also conduct comprehensive investigations of overall employment and benefits operations, including analyses of pending or potential litigation exposure, evaluation of sellers’ employee benefit plans and employment agreements, labor contracts and ongoing labor relations environments, and determination of impact of collective bargaining agreements, employee benefits obligations, and/or labor, employment and benefit laws on acquirers, sellers or other parties.

Our lawyers frequently form part of cross-departmental teams acting for insolvency practitioners. This will often necessitate urgent decisions being made regarding an insolvent company's workforce with appropriate steps being required to minimize employer liabilities but to the extent possible, retain the prospect of a business being sold as a going concern.
