Tom Prince
Partner
Tom Prince heads the firm’s St. Louis
Corporate practice. He represents clients in a number of
industries, including investment banks and broker-dealers,
financial institutions, energy and mining. Prior to joining SNR
Denton in the fall of 2010, Tom was chairman of the corporate
department of a Midwest regional firm.
His representation includes such areas as
corporate governance, capital formation, mergers and acquisitions,
and regulatory matters. He has considerable experience
working directly with the general counsels and senior executives of
public and private entities. Tom was recently selected by the
US Attorney for the Eastern District of Missouri and the Securities
and Exchange Commission Division of Enforcement to serve as the
independent consultant providing oversight to a substantial
financial institution pursuant to a deferred prosecution
agreement. In this capacity, Tom evaluated the company’s
operating policies and procedures, conflicts procedures and
compliance procedures; served as an ombudsman to the company’s
employees; and, reviewed his findings and recommendations with the
board of directors.
Tom also has represented a public energy and
mining company in the implementation of a tax-free spin-off to its
public shareholders of a newly formed subsidiary. The
reorganization was designed to “unlock” long-term value for
shareholders. The engagement involved filings with the SEC
and the NYSE. Tom served as mayor and as a member of the City Board
of Directors of Little Rock, Arkansas, from 1985 to 1990.
