  • Review, recommendation and implementation of governance improvements to embrace best practices and achieve regulatory compliance
  • Structuring effective compensation and benefits programs while avoiding adverse tax consequences
  • Establishing and operating joint ventures and for-profit subsidiaries
  • Corporate restructuring and business transactions
  • Oversight and counsel regarding lobbying and political campaign activities
  • Tax-exempt financing
  • Planning for avoidance of unrelated business income tax
