As the statutory and regulatory landscape affecting capital
markets transactions evolves, trustees, bond administrators,
collateral agents, custodians and other agents need to understand
if and how their duties and obligations are affected by new and
proposed legislation, rules and regulations. For example, the
Dodd-Frank Act and the SEC's proposed amendments to Regulation AB
will have a significant impact on the industry sectors in which our
clients participate. Our clients will need to implement policies
and procedures to continue to actively participate in the capital
markets.
For existing transactions, questions relating to breaches,
defaults, restructurings and bankruptcies of transaction
participants, require our clients to address these issues as
specified in the transaction documents. However, questions of
interpretation are common and some issues are not specifically
discussed in the transaction documents. In addition, as new
legislation and government programs are created, documents will
need to be interpreted in light thereof even if the legislation and
programs were not contemplated at the time of their
execution.
In situations when disputes or bankruptcy claims arise, our
clients need to act quickly to assess and define strategies.
